Animal Pure - Wholesale Terms and conditions

Definitions

"Purchaser", "you", "your", shall herein be construed as meaning: the "buyer" i.e. person(s) or a body corporate/corporate body seeking to purchase from Animal Pure Limited. 

"Us", "our", "we", shall herein be construed as meaning: the "seller" i.e. "Animal Pure Limited".

Jurisdiction and Applicable Law

Upon receipt of an order confirmation or invoice detailing the full specification of the order, a contract shall exist between Animal Pure and the purchaser.  All the products detailed on our website and catalogue is supplied to you in accordance with the terms and conditions as set out below.  By accessing, using our website or catalogue and submitting an order, you are agreeing to and are bound by these terms and conditions.  These Terms and conditions are governed and construed in accordance with the laws of England and Wales.  Any disputes shall be subject to the exclusive jurisdiction of the Courts of England and Wales.

Ordering

All orders placed by telephone or email are subject to availability and confirmation.  We will make every attempt to keep our products in stock; however, due to large volume orders or at peak times some items may temporarily be out of stock at the time of order.  If we are unable to process your entire order we will contact you as soon as possible to let you know the situation and for you to elect to either have us post a partial order with the rest to follow or to wait.  

For personalized, private label or bespoke ordering, individual specifications will be agreed and a quotation provided.  We may be able to source specific items so long as they conform to our ethical purchasing and product criteria.  Please contact us for further information.

 Payment Methods

Upon receipt of your order we will issue an order confirmation or invoice with these terms and conditions.  Goods will be dispatched to you on the date specified (see delivery section below).  At this stage a legally binding contract shall exist between us and you.   Our payment terms are outlined as follows:-

·          First-time orders - Animal Pure must receive payment for the full price of the goods ordered as detailed in the order confirmation or invoice.  Payment terms thereafter shall be “as agreed” on an order-by-order basis.  

·          Our preferred payment method – by BACS (electronic payment transfer) particularly for large orders.  We will notify you at invoice of our bank accounting details. 

·          Cheque or Postal Order – We are happy to accept cheques or postal orders.  Please make cheques payable to "Animal Pure Limited”. Please write the purchaser name, delivery address and invoice number on the back of the cheque.  We normally ask for up to 5 days for a cheque to clear before goods will be dispatched, unless terms agreed otherwise. 

·          Paypal - Instructions for payment by Paypal will be detailed on your order confirmation or invoice.  For some credit, debit card or foreign currency payments charges may apply.

 Delivery and handling

We accept enquiries and orders for delivery within Europe and internationally, however, we cannot guarantee delivery to all locations.  Goods will be delivered to the address as detailed on the order confirmation or invoice.   

Once your payment has been cleared, goods will normally be dispatched within 48 hours for all items in stock, however, an estimated time for delivery will be confirmed and notification will be given upon dispatch of goods.  For items that are out of stock we aim to deliver to you within 28 days and we will advise you if we can do so sooner, please see section “Ordering” above. 

UK:  We normally use our next day courier service for orders up to 25kg for a fixed fee of £10.00.  If your order is small or light then Royal Mail standard parcel service with proof of postage obtained may be used which ever is the cheaper.  Large volume orders above 25kg will be individually priced per order and are based on the weight of parcel being sent.   

International & EU Member States:  Delivery charges for all overseas orders, including Ireland and the Channel Islands will be calculated separately.  We will notify you of these charges by telephone or email confirming the exact postage and packing charge prior to proceeding with your final order confirmation and invoice.  For EU members, if you are registered for VAT please quote your VAT number and you will not be charged VAT. If you do not have a VAT number you will be charged VAT at 17.5%. 

If the buyer’s delivery address is outside of the EU, no sales tax will be added to your order.  Customs charges may apply if delivery is to a non EU destination.  It is the sole responsibility of the purchaser to pay any import duties or taxes that are payable in their country.

Ownership

The title, ownership and risk of the items sent shall pass from Animal Pure Ltd to you upon payment in full and dispatch of the goods to your business/delivery address as specified on the invoice or on delivery in to custody on the purchasers’ behalf (whichever is the sooner).  The purchaser should therefore be insured accordingly. 

Animal Pure does not accept any liability for items lost or damaged in transit. In this unlikely event we will provide every support (such as proof of postage) to assist you in claiming directly from Royal Mail, courier or an appropriate overseas carrier. 

Order Cancellation

We do not normally accept cancellations of orders made to customer’s specification, unless there are reasonable grounds to do so.  Administration and re-stocking costs may apply if an order is cancelled.  

Returns

Goods may normally only be returned if they are not as specified in the order confirmation or invoice. 

Limitation of liability and warranty

 Animal Pure warrants that (subject to the other provisions of these Conditions) at the time of delivery, the Goods will be of satisfactory quality within the meaning of the Sale of Goods Act 1979, as amended, and the Company shall not be liable for a breach of this warranty unless notified in writing within 10 working days of delivery.  Claims made outside this limits may not be accepted by Animal Pure Limited.  

Except as expressly stated herein, Animal Pure Ltd expressly disclaims all warranties, express or implied, of any kind with respect to products sold, including but not limited to, merchantability and fitness for a particular purpose. You agree that the sole and exclusive maximum liability to Animal Pure Ltd arising from any product sold shall be the price paid for the product ordered. To the maximum extent permitted by applicable law, neither Animal Pure nor any of its directors, officers, employees or other party involved in creating, producing, or delivering the products will be liable for any incidental, special, consequential or punitive loss or damages resulting from your access to or use of the products, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Animal Pure has been informed of the possibility of such damage, even if a remedy set forth herein is found to have failed its essential purpose.

Force Majeure - events beyond our reasonable control

We shall not be liable for any circumstances beyond our reasonable control, which may result in damage or defect of the goods, or cause delay or failed delivery, or result in any loss by you or any third party. Such events include, but are not limited to, acts of terrorism, forces of nature, industrial disputes, strikes, and insurgency.

Privacy & Data Protection

In order to process your orders, we require certain personal data from you such as customer name, email address, mailing address and telephone number.   

Animal Pure Limited follows the requirements of UK Data Protection Acts of 1984 and 1998 (and relating EU legislation) regarding the storage and disclosure of information.  As such we are committed to protecting your privacy and will not disclose, sell or distribute any of your personal data to third parties, unless as required by UK Law.  We will only collect from you what is relevant and fit for purpose. 

By submitting your personal data to us you are giving your consent for us to use this data for the purposes of:-

1 .       The processing and fulfilling of your order requirements. 

2.       To contact you occasionally to inform you of new products or special promotions.

3.       Contact you occasionally for the purposes of market research to improve our wholesale offerings.

 Amendments and Changes

Animal Pure may make any improvements or changes to their catalogue information, website, services, products and other materials at anytime.  We may also modify these terms and conditions at anytime. Any such modification shall be effective immediately and these wholesale terms and conditions will be updated accordingly.  An up to date copy of these terms and conditions shall be placed on our website and our wholesale catalogue updated.  You acknowledge and agree that Animal Pure Limited may revise these Terms and Conditions at any time without letting you know.  You agree to be bound by such updates and agree to visit our website pages and catalogue from time to time to check such changes.
